DISSOLVED - Domestic Businesses

To prepare an Application for Reinstatement, click on the "Prepare Online" link under the business type of your entity or the green button to the right. The system will first have you file all delinquent annual reports paying for each one with a credit card, and then will have a printable Application for Reinstatement that will need to be MAILED to our office with the proper reinstatement filing fee.


  • Limited Liability Companies & Business Corporations:

    • An approved Tax Clearance Certificate from the Department of Revenue MUST be received by our office before the Application for Reinstatement can be processed. Please request the certificate at https://dorresources.sd.gov/f/2026, and they will forward the certificate to our office.
  • Limited Liability Companies, Business Corporations & Nonprofit Corporations:

    • Application for Reinstatement - includes the filing of all delinquent Annual Reports.
      • Prepare Online
      • Reinstatement Fees:

        • Limited Liability Companies: $150
        • Business Corporations: $300
        • Nonprofit Corporations: $30
    • NOTE: If the registered agent name and/or address needs changed, a Statement of Change of Registered Office or Registered Agent or Both must also be submitted before the Application for Reinstatement.
REVOKED - Domestic Businesses
  • Limited Liability Partnerships:

    • LLPs have the ability to apply for Reinstatement for up to 2 years following the date of revocation.
    • Annual Report(s) - All delinquent Annual Reports MUST be filed along with any additional late fees before the Application for Reinstatement can be filed.
    • Application for Reinstatement
    • NOTE: If the registered agent name and/or address needs changed, a Statement of Change of Registered Office or Registered Agent or Both must also be submitted before the Application for Reinstatement.

REVOKED - Foreign Businesses

Foreign Entities CANNOT reinstate, and will need to reapply for a Certificate of Authority by clicking on the "File Online" link below.
